Company Address Change in Nepal

When your company moves to a new office, you must notify the OCR within 15 days of the change. This is required under Section 50 of the Company Act, 2063. Late notification results in penalties.

Why Must You Notify the OCR?

Your company's registered office address is the official communication address recognized by all government bodies, courts, banks, and business partners. Legal notices, government letters, and court documents are sent to this address.

If you move offices without updating the OCR, important communications may be missed, which could result in legal or compliance complications you are unaware of. That is why the Company Act, 2063 requires all companies to inform the OCR about any address change within 15 days.

Step-by-Step Process

    Arrange Your New Office Documents

    Before notifying the OCR, secure the documents for your new office. If renting, sign a new lease agreement with the landlord. If you own the property, prepare the ownership documents. You will need these to submit with your address change application.

    Hold a Board of Directors Meeting

    Convene a board meeting to formally approve the decision to change the company's registered office address. Record the full new address in the board minutes — including province, district, municipality/rural municipality, ward number, and street or house number.

    Log In to the OCR CAMIS Portal

    Log in to camis.ocr.gov.np using the company's OCR account. Navigate to the address change section and fill in the complete new address details exactly as they appear in your office documents.

    Upload Documents and Submit

    Upload the Board of Directors meeting minutes and the new office document (lease agreement or ownership proof). Submit the application. The OCR will review and update your records. Ideally, submit within the first 10 days of moving — to stay safely within the 15-day deadline.

    Update All Other Records

    After the OCR confirms your new address, update your PAN and VAT registration at IRD, notify your bank, update your ward registration, and inform any other licensing authorities where your address appears.

Moving to a Different District?

If your company is moving its registered office to a different district, the process involves additional considerations:

  • A Special General Meeting (SGM) may be required — check your Articles of Association.
  • You may need to update your ward registration in the new district.
  • Your PAN office jurisdiction at IRD may change — notify the respective tax offices.
  • Any district-specific trade licenses must be re-obtained in the new district.
  • Ensure all contracts and agreements are updated with the new address.
