Annual Report (Adhyawadhi) — Company Renewal in Nepal
Every registered company in Nepal must submit its Annual Report (Adhyawadhi) to the OCR every fiscal year. This includes the audited financial statements, AGM minutes, and updated company records. Missing the deadline results in escalating penalties.
What Is the Annual Report (Adhyawadhi)?
The Annual Report — officially called Adhyawadhi (अधावधि) — is the process of informing the OCR that your company is still active, legally operating, and compliant with the Company Act. It is the Nepali equivalent of an annual return or annual filing.
Nepal's fiscal year runs from 1st Shrawan to 31st Ashadh (mid-July to mid-July). Companies must submit their Adhyawadhi within 6 months of the end of the fiscal year — meaning by approximately the end of Poush (around mid-January of the following calendar year).

Complete the Fiscal Year Audit
Before anything else, your company must have its accounts audited by a licensed Chartered Accountant (ICAN member) for the fiscal year just ended. The audit must be completed and the audit report prepared before you can file the Adhyawadhi.

Hold the Annual General Meeting (AGM)
Once the audit is complete, hold the Annual General Meeting (AGM). The Company Act requires the AGM to be held within 6 months of the fiscal year end. At the AGM, shareholders review and approve the audited financial statements, reappoint the auditor for the next year, and discuss any other business matters.

Prepare All Required Documents
After the AGM, compile all required documents: audited financial statements, AGM minutes, board meeting minutes from the fiscal year, and updated lists of directors and shareholders (if any changes occurred during the year).

Log In to OCR CAMIS and File the Adhyawadhi
Log in to camis.ocr.gov.np using the company's OCR account. Navigate to the Annual Renewal (Adhyawadhi) section. Fill in the required details for the fiscal year — financial summary, director/shareholder information, and any amendments made during the year.

Upload Documents and Submit
Upload scanned copies of the audited financial statements, AGM minutes, and board minutes. Review all information carefully before submitting. The OCR will process your submission and confirm the annual renewal.

The Adhyawadhi requires the following documents and information for each fiscal year:
