What Is a Private Limited Company?

A Private Limited Company (Pvt. Ltd.) is the most popular type of business in Nepal. It is a legally recognized entity that is separate from its owners. This means the company can own property, open a bank account, sign contracts, pay taxes, and take legal action — all independently from the people who started it.

The owners (shareholders) are only responsible for the money they invested. If the company faces losses or debts, the shareholders' personal assets are protected. This is called limited liability.

You need a minimum of one director and one shareholder to register a Private Limited Company in Nepal. Both can be the same person. A Private Limited Company can have a maximum of 101 shareholders.

Before You Begin — Know the Name Rules

The OCR has strict rules for company names. Violating these rules will get your name reservation rejected. Keep the following in mind:

  • The name must be unique — it cannot be the same as or similar to an already registered company.
  • The name cannot contain numbers. Example: 'News24' is wrong. 'News Twenty Four' is correct.
  • The name must be written the same way in both English and Nepali. Example: 'Himalayan Publication' in English should be 'हिमालयन पब्लिकेशन' in Nepali — not translated to 'हिमालयन प्रकाशन'.
  • The name cannot be misleading, offensive, or linked to the Government of Nepal unless officially permitted.
  • The name must end with 'Private Limited' or 'Pvt. Ltd.' for a private company.

Step-by-Step Process

    Create Your OCR Username and Password

    Go to camis.ocr.gov.np/register and create a new account. You need a unique email address and a mobile phone number. Each company requires its own separate OCR account. Fill in the required details, tick 'Are you a Company Representative', and click 'Create Company User Account'. An OTP will be sent to your mobile and email — enter it to verify and set your password.

    Reserve Your Company Name

    Log in to your OCR account and click 'Reserve Company Name'. Select the type of company (Private Limited, Public Limited, etc.), fill in the proposed company name in both English and Nepali, and add your company's objectives. The OCR will review your application and notify you if the name is approved or rejected. Approval usually takes 1–3 business days.

    Prepare the Required Documents

    Once your name is reserved, prepare the Memorandum of Association (MOA) and Articles of Association (AOA). Collect citizenship certificates, NID numbers, and personal PAN numbers from all directors and shareholders. Have passport-sized photographs ready. Decide on the authorized capital and share structure.

    Fill in Company Details and Upload Documents

    Log in to your OCR account and start the company incorporation application. Enter all company details: objectives, registered office address, share capital, director details, and shareholder information. Upload scanned copies of all required documents. Double-check everything before submitting.

    Pay the Government Registration Fee

    After the OCR reviews and approves your Memorandum of Association, you will be asked to pay the government registration fee. The fee depends on your authorized capital (see fee table below). Payment can be made through the online banking system. Keep the payment receipt.

    Receive Your Company Registration Certificate

    After fee payment is confirmed, the OCR registers your company and issues the Certificate of Incorporation. You will receive a digital copy through your OCR account. This certificate is proof that your company legally exists in Nepal. You can now proceed with post-registration tasks.

Required Documents

  • Registered office address (province, district, municipality, ward number, house number)
  • Proposed authorized capital and paid-up capital details

What to Do After Registration

Getting your registration certificate is just the beginning. To legally operate your company, you must complete the following post-registration tasks:

  • Initial Update:Submit company address, auditor appointment, and first AGM/board minutes to OCR within 3 months.
  • Share Lagat:Register shareholders' paid shares with the OCR within 3 months to avoid penalties.
  • Business PAN Registration:Register for a Business PAN at the Inland Revenue Department (IRD). This is your company's tax identity.
  • Ward Registration:Register your company at the local ward office where your office is located.
  • Bank Account:Open a corporate bank account in your company's name using the registration certificate and PAN.
  • VAT Registration (if applicable):Register for VAT if your annual turnover exceeds the threshold set by IRD.
